The Forevership Terms

1. Overview

Dinnerbell Delivery Club is a limited, one-time purchase membership providing enhanced delivery privileges on the Dinnerbell platform. Membership does not constitute equity, ownership, or an investment product.

2. Membership Fee

The Dinnerbell Delivery Club requires a one-time payment of $7,000 USD. Membership availability is limited and may be capped or suspended at Dinnerbell's discretion.

3. Waitlist

If capacity is reached, customers may join the waitlist for a $250 non-refundable fee. The waitlist fee does not guarantee membership approval.

4. Non-Refundable Policy

Membership fees are non-refundable once purchased. Dinnerbell may, at its sole discretion, issue a full or partial refund. Members may not demand a refund.

5. Club Benefits

Club Members receive waived delivery fees at checkout. Tips remain optional. Taxes, processing fees, and restaurant charges still apply.

6. Priority Service Commitment

Dinnerbell will make commercially reasonable efforts to facilitate up to one (1) completed delivery request per Club Member per calendar day. This benefit is non-cumulative and hard capped at one delivery per day.

7. Limitations

Priority service is subject to geographic availability, contractor availability, operational capacity, and force majeure conditions. Dinnerbell does not guarantee specific delivery times or restaurant performance.

8. Service Sustainability

Dinnerbell reserves the right to modify or limit Club benefits if necessary to maintain driver retention, regulatory compliance, or platform sustainability.

9. Transfer Policy

Club Membership may be transferred only with prior written approval from Dinnerbell. Transfers may not occur more than once within any twelve (12) month period without express approval. Unauthorized transfers void membership without refund.

10. Permanent Platform Cessation

If Dinnerbell permanently ceases operations and discontinues Club services in all regions, Members shall be entitled to a refund equal to the original $7,000 fee. Temporary suspensions, regional pauses, restructuring, or sale to a successor entity do not trigger this refund obligation.

11. Limitation of Liability

Dinnerbell's liability relating to Club Membership shall not exceed the original $7,000 fee. Dinnerbell shall not be liable for indirect or consequential damages.

12. Arbitration and Governing Law

Any disputes shall be resolved through binding individual arbitration in the State of Michigan. Members waive jury trials and class action participation. Michigan law governs this Agreement.

13. Modifications

Dinnerbell may update these Terms at any time. Continued use of Club benefits constitutes acceptance of revised Terms.
