Premium Membership

These Terms govern Premium Membership access to Dinnerbell LLC's Custom Offer Delivery feature. Premium Membership provides enhanced request flexibility but does not guarantee order acceptance or fulfillment.

Premium Members may submit a delivery request specifying a custom delivery amount ("Offer Amount"). The minimum Offer Amount permitted is $10.00. Submission of an Offer Amount does not guarantee contractor acceptance.

Independent delivery contractors operate as independent contractors and may accept, decline, or ignore any request at their sole discretion. Dinnerbell does not assign deliveries, control acceptance decisions, or guarantee contractor availability.

By submitting a Custom Offer, the Premium Member authorizes Dinnerbell to preauthorize and charge the Offer Amount upon contractor acceptance. Failure of payment authorization may void the request.

For accepted Custom Offers, the Offer Amount is allocated as follows:

• $2.00 Platform Service Fee retained by Dinnerbell LLC.
• Applicable payment processing fees.
• Applicable taxes.
• Remaining balance paid to the independent contractor.

Drivers receive the majority of your custom offer after disclosed platform and processing deductions.

Custom Offers do not guarantee delivery completion, timing, or availability. If no contractor accepts the Offer, the request will not be fulfilled.

If a Custom Offer is accepted and later cancelled, processing fees may be non-refundable. Contractor compensation may be partially retained if fulfillment has begun. Refund determinations remain at Dinnerbell's discretion.

Service availability is subject to geographic, weather, traffic, and operational limitations determined solely by Dinnerbell.

Dinnerbell reserves the right to suspend or restrict access to the Custom Offer feature for abusive, manipulative, excessive cancellation, or disruptive behavior.

Dinnerbell's total liability arising from use of the Premium Membership feature shall not exceed the amount paid for the specific delivery transaction at issue.

Premium Members agree to indemnify and hold harmless Dinnerbell LLC from claims arising out of misuse of the platform or violation of these Terms.

Dinnerbell shall not be liable for delays or failure to perform resulting from circumstances beyond its reasonable control, including weather events, road closures, or emergencies.

These Terms shall be governed by the laws of the State of Michigan. Any disputes shall be resolved in the appropriate courts located within Michigan.

Dinnerbell LLC reserves the right to modify these Terms at any time. Material updates will be posted with an updated Effective Date. Continued use of Premium features constitutes acceptance of revised Terms. Changes will not apply retroactively to completed transactions unless required by law.
